TERM
The term of this agreement shall commence on the date which an approved link
to DogToys.com's site (the "Link") is placed on Associate's site and expire
when terminated by either party with three days (72 hours) written or emailed
notice. Upon termination, Associate agrees to remove the Link from its site.
We will evaluate Your application to the Program and notify You whether Your
Site is accepted for participation in the Program. We may reject Your application
if we determine (in our sole discretion) that Your Site is unsuitable for
the Program. Unsuitable sites include, but are not limited to those that:
a) Promote violence b) Promote discrimination based on race, sex, religion,
nationality, disability, sexual orientation, or age c) Promote illegal activities
d) Include "DogToys.com", any registered trademark owned by DogToys.com
or variations or misspellings thereof in their domain names e) Otherwise violate
property rights f) Pass on the commission earned by being an associate of
DogToys.com as a discount or rebate to the Site's customers without obtaining
the express written approval of DogToys.com g) Register "DogToys.com",
other registered trademarks owned by DogToys.com, or variations and misspellings
thereof in any pay-for-placement search engine without obtaining the express
written approval of DogToys.com or otherwise dubious search engine marketing
tactics (determined at our sole discretion) h) Make press releases regarding
the associate relationship without obtaining the express written approval
of DogToys.come i) Otherwise are considered offensive at DogToys.com's discretion.
Once You are accepted into the Program, You will be able to participate in
the Program subject to the terms and conditions of the Agreement. You should
also note that if You are accepted to participate in the Program and Your
Site is thereafter determined (in our sole discretion) to be unsuitable for
the Program, we may terminate this Agreement, upon 72 hours notice at that
time all links will be removed from your site(s).
OBLIGATIONS OF DogToys.com
1. DogToys.com will supply Associate with artwork and text that can be placed
on Associate's site and act as a link to DogToys.com' site. Associate may
submit alternate artwork to DogToys.com for consideration.
2. DogToys.com will compensate Associate for each Associate-Generated Purchase.
An "Associate-Generated Purchase" shall be defined as a purchase made during
a user session in which the visitor used the Associate’s unique assigned URL
to access DogToys.com’s web site.
3. "Purchase Amount" is defined as the gross amount of an Associate-Generated
Purchase less shipping charges, sales tax, and gift wrapping charges.
4. DogToys.com will remit a commission of 8% of the Purchase Amount of
Associate-Generated Purchases to Associate via CJ.com
5. Associate-Generated Purchases shall be solely determined by CJ.com. Associates
will have 24-hour access to both traffic and sales reports via CJ.com.
OBLIGATIONS OF ASSOCIATE
Associate will place a graphical link to DogToys.com on the Associate site in a manner consistent with artwork provided by DogToys.com. Associate will clearly define themselves as an associate of DogToys.com by either using one of our official banners/buttons or within the text links they employ. You may also choose to place one of the following on every page that has a link back to DogToys.com: In association with DogToys.com or Affiliate of DogToys.com. Associate will code all links to DogToys.com using the unique URL specified by DogToys.com at CJ.com. At no time will an affiliate list our pricing on their website unless given permission prior to doing so.
MODIFICATIONS
At any time DogToys.com may modify any of the terms and conditions contained
in this Agreement by emailing a revised agreement to you. If a modification
is unacceptable to you, your only recourse is to terminate your participation
in the Program. Your continued participation in the Program following receipt
of a revised agreement constitutes your acceptance of the new agreement.
PRESS RELEASES AND PUBLIC STATEMENTS.
You will not issue any press releases or make public statements relating to
DogToys.com, these Standard Terms or the relationship between the parties
without DogToys.com’s review of and written consent to such press release
or public statement.
MISCELLANEOUS
The laws of the United States and the State of Delaware will govern this Agreement.
Any action relating to this Agreement must be brought in the federal or state
courts located in Wilmington, Delaware and you irrevocably consent to the
jurisdiction of such courts.
ACCEPTANCE
By clicking on the "submit" link on the online form at CJ.com, You are agreeing
to be bound by the terms in these Terms and Conditions. If You do not understand
or agree to all of the terms and conditions of this agreement,
do not submit your application.
